1. Acceptance of Terms

By accessing, registering, or using Together with Kai, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our platform.

2. Release of Liability

By using Together with Kai, you agree to release, indemnify, and hold harmless Together with Kai, its owners, employees, affiliates, and creators from any and all claims, damages, liabilities, or expenses arising from:

• Your use of the platform
• Interactions with other users, whether online or offline
• User-generated content or profiles
• Any reliance on personality insights or compatibility scores

You acknowledge that you use the platform at your own risk. Together with Kai is not responsible for the conduct of any user or the accuracy of any profile information.

3. Indemnification

You agree to indemnify, defend, and hold harmless Together with Kai and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the platform
• Violation of these terms
• Infringement of any third-party rights
• Your content or interactions with other users

This indemnification obligation survives termination of your account.

4. Limitation of Liability

To the maximum extent permitted by law, Together with Kai shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenues, data, or use
• Damages arising from user-generated content or third-party actions
• Inaccuracies in personality analysis or compatibility matching
• User conduct or offline interactions resulting from platform connections

Our total liability to you for all claims shall not exceed the amount you paid us (if any) in the 12 months preceding the claim, or $100 USD, whichever is greater.

5. User Conduct and Acceptable Use Policy

Users agree to use Together with Kai responsibly and lawfully. Prohibited conduct includes:

• Harassment or Threats: Bullying, stalking, or threatening other users
• False Information: Creating fake profiles, catfishing, or impersonation
• Illegal Activities: Any unlawful conduct or solicitation
• Spam or Commercial Use: Unsolicited advertising or promotional content
• Explicit Content: Sharing adult content without consent or to minors
• Platform Abuse: Attempting to hack, scrape, or disrupt service
• Discrimination: Content promoting hate or discrimination

Together with Kai has zero tolerance for abusive or objectionable content and reserves the right to suspend or terminate accounts that violate these policies without prior notice.

6. No Warranty Disclaimer

Together with Kai provides the platform on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy of personality analysis or compatibility scores
• Availability, reliability, or uninterrupted access
• Quality of matches or guarantee of successful relationships

We do not guarantee that our AI insights or personality matching will be accurate, complete, or suitable for your needs.

7. Account Termination

Together with Kai may terminate or suspend your account at any time, with or without cause or notice, including for violation of these terms. Upon termination:

• Your access to the platform will be immediately revoked
• Your profile and content may be deleted (subject to our data retention policy)
• You remain liable for any obligations incurred prior to termination
• Sections on Indemnification, Limitation of Liability, and Dispute Resolution survive termination

8. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY – IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution: Before filing any claim, you agree to contact us at support@togetherwithkai.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, any disputes arising under or in connection with these terms shall be resolved through binding arbitration conducted in the United States of America under the rules of the American Arbitration Association (AAA).

Class Action Waiver: You agree that disputes will be resolved on an individual basis only. You waive your right to participate in class actions, class arbitrations, or representative actions.

This arbitration agreement survives termination of your account.

9. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law principles. Exclusive jurisdiction for any disputes not subject to arbitration shall reside in the federal and state courts located in the United States.

10. Intellectual Property

Platform Content: All intellectual property rights in Together with Kai (including design, code, logos, and Kai AI) belong to us or our licensors.

Your Content: You retain ownership of content you post. By posting, you grant Together with Kai a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content for platform operation and improvement.

11. AI Services

Kai is an AI-powered companion.

By using the app, you agree that your conversations may be processed by AI services to generate responses and maintain memory.

AI features require user consent. If AI conversations are disabled, Kai's chat features will not function.

You may enable or disable AI conversations at any time in Settings.

11. Modifications to Terms

Together with Kai reserves the right to update these Terms of Service at any time. We will notify users of material changes via email or platform notification at least 30 days before they take effect. Continued use of the platform after changes constitutes acceptance of the updated terms.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

13. Assignment

Together with Kai may assign or transfer these Terms and your account in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your account or these Terms without our prior written consent.

14. Force Majeure

Together with Kai shall not be liable for failure to perform obligations due to events beyond our reasonable control, including natural disasters, pandemics, cyberattacks, government actions, or telecommunications failures.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Together with Kai and supersede any prior agreements or understandings.

16. Statute of Limitations

Any claim or cause of action arising under these Terms must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.
